Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Aftermarketscout platform and services ("Service") operated by Aftermarketscout, Inc. ("Aftermarketscout," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.
If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.
1. The Service
Aftermarketscout provides a parts procurement platform that allows automotive shop owners and their teams to search pricing and inventory across multiple aftermarket distributors from a single interface. The Service includes:
- Inventory and pricing search across connected distributors
- Multi-distributor comparison tools
- Integration with shop management software (where available)
- Account and credential management for connected distributors
2. Account Registration
To use the Service, you must create an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorized access at info@aftermarketscout.com
You must be at least 18 years old and authorized to operate a business to create an account. We reserve the right to refuse or terminate accounts at our discretion.
3. Distributor Credentials & Account Access
By connecting a distributor account to Aftermarketscout, you:
- Confirm that you are authorized to use that distributor account
- Grant Aftermarketscout permission to access the account solely for the purposes of providing the Service
- Acknowledge that your dealer-specific pricing and terms remain subject to your individual agreements with each distributor
Aftermarketscout is not affiliated with, endorsed by, or a representative of any distributor. We do not guarantee the accuracy, availability, or completeness of data retrieved from distributor systems.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Scrape, copy, or redistribute distributor pricing data outside the intended use of the platform
- Share your account credentials with unauthorized third parties
- Attempt to gain unauthorized access to any distributor system or other user's account
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service for any purpose that violates your agreements with connected distributors
5. Subscription & Payment
Billing: The Service is offered on a subscription basis. Fees are billed in advance on a monthly or annual cycle depending on your selected plan. All fees are non-refundable except as required by law or as expressly stated in these Terms.
Price changes: We may change subscription fees with 30 days' notice. Continued use of the Service after the price change takes effect constitutes acceptance of the new fees.
Cancellation: You may cancel your subscription at any time from your account settings. Your access will continue until the end of the current billing period. We do not provide prorated refunds for partial periods.
6. Intellectual Property
The Service, including all software, content, trademarks, and design elements, is owned by Aftermarketscout and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes only.
You may not copy, modify, distribute, sell, or create derivative works from any part of the Service without our prior written consent.
7. Data & Privacy
Your use of the Service is also governed by our Privacy Policy, available at aftermarketscout.com/privacy. By using the Service, you consent to the collection and use of data as described in that policy.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. AFTERMARKETSCOUT DOES NOT WARRANT THAT:
- The Service will be uninterrupted, error-free, or secure
- Pricing or inventory data retrieved from distributors will be accurate or current
- The Service will meet your specific business requirements
Distributor pricing and stock data is retrieved on demand and may reflect delays, errors, or changes beyond our control. Always verify critical order details directly with your distributor before placing orders.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AFTERMARKETSCOUT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO AFTERMARKETSCOUT IN THE THREE MONTHS PRECEDING THE CLAIM.
10. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or for any other reason at our discretion.
Upon termination, your right to use the Service ceases immediately. Sections 6 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), and 12 (Governing Law) survive termination.
11. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the platform. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of competent jurisdiction in Delaware.
